Terms of Use

Allixs Health, Inc., dba True Whealthness (“True Whealthness”, “we”, “our”, “us”) provides the website www.truewhealthness.com and its offerings owned and operated by True Whealthness that link to these Terms of Use (“Site”) to users (“you” and “your”), conditioned upon acceptance of the following Terms of Use (the “Terms”). By accessing or using the Site, and/or by indicating your consent to these Terms through the banner displayed to first-time visitors to the Site, you agree to be bound by these Terms and our Privacy Policy https://www.truewhealthness.com/privacy-policy (“Privacy Policy”).

1. CHANGES TO SITE

We may modify or take down all or part of the Site, terminate these Terms, or limit or refuse access to the Site to any person for any legal reason at our discretion. If we determine that you have breached these Terms, violated any applicable law, rule, or regulation, or if we otherwise determine that it is advisable for any business reason, we reserve the right, in our sole discretion and without limiting other remedies, to immediately suspend or terminate your current or future access to or use of the Site without notice.

2. USER CONTENT AND LICENSING

You must comply with all laws and regulations that apply to your use of the Site. Some sections of the Site allow users to contact us, or otherwise transmit text, images, and other materials (“User Content”) to or through the Site. When you transmit any User Content to or through the Site, you grant to True Whealthness a non-exclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display, in whole or in part, such User Content, including, but not limited to, throughout the world in any media, as necessary (1) to display your User Content; (2) provide, maintain and improve the Site and True Whealthness products or services; (3) to prevent or address service, security, support or technical issues; (4) as required by law; and/or (5) as authorized by you. 

You represent and warrant that (i) all information that you provide to us or our service providers in connection with your use of the Site is and shall remain accurate throughout the duration of your use of the Site; (ii) you have all rights, permissions, and consents necessary to submit such User Content and to grant us the limited rights to process your User Content as set forth herein; and (iii) your use of the Site complies with these Terms and with all applicable laws, including laws governing third-party proprietary rights. Note that User Content is not confidential, and can be viewed by other visitors to the site. We are not responsible for any unauthorized third-party access to or use of your User Content. For the avoidance of doubt, you should not submit sensitive or confidential information to the Site.

We generally do not pre-screen User Content before it is posted, uploaded, transmitted, sent or otherwise made available on or through the Site. You acknowledge that we have not reviewed and do not necessarily endorse the User Content available on or through this Site, and are not responsible for such User Content. Your decision to access any User Content or any third-party site, application, platform, or resource linked via the Site is voluntary and at your sole risk. If you have reason to believe that another person is using the Site in a way that is harmful to you or others, you should contact the appropriate authorities. Notwithstanding the foregoing, we reserve the right to reject, to remove, or to change any User Content, and to restrict, suspend, or terminate your access to all or any part of the Services based on your submission of User Content without prior notice to you.

 

3. TRUE WHEALTHNESS CONTENT

The Site and all information, content, and materials offered on or through the Site other than User Content (collectively, “True Whealthness Content”), is the property of True Whealthness or its licensors. “True Whealthness Content” and “User Content” are collectively referenced in these Terms as “Content”. No right, title or interest in any True Whealthness Content is transferred to you by way of these Terms or otherwise and the True Whealthness Content is protected by copyright, trademark, and/or other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and the True Whealthness Content provided through the Site solely (i) for your personal, non-commercial use; and (ii) in accordance with these Terms. You may not reproduce, publish, transmit, distribute, display, modify, create derivative works from, sell or participate in any sale of or exploit in any way, in whole or in part, the Site or any True Whealthness Content without our express prior written consent.  All rights not expressly granted in these Terms are reserved by us.

While you and other users of the Site may discuss, and the Site may provide True Whealthness Content relating to, a range of topics – which may include matters adjacent to medical, health, or financial issues – you should not rely on the Site for advice on such issues. You alone will bear the sole responsibility for evaluating any benefits and risks associated with your use of Content before making any decisions based on such Content.

 

4. RESTRICTIONS ON USE

You may not access, visit, use and/or store the Site or any of its Content except for personal, noncommercial use, and subject to such acceptable use policies as True Whealthness may implement from time to time.

You are prohibited from using the Site if you are not able to form legally binding contracts in the applicable jurisdiction (for example, if you are under 18 years old), or are temporarily or indefinitely suspended from using the Site. You are also not permitted to do any of the following in connection with your access to or use of the Site: 

  • reverse engineering, disassembling, decompiling, decoding, or adapting the Site or Content;

  • compiling, downloading, reproducing, duplicating, or copying, any portion of the Site or Content, or otherwise making the Site or the Content available to third parties without our permission (including by mirroring or framing the Content or Site); 

  • interfering with or disrupting the integrity or performance of the Site, such as by uploading harmful code, by using any robot, spider, or other programmatic or similar automatic device to obtain information from the Site, or by violating procedures, policies or regulations of networks connected to the Site; 

  • using the Site or Content in any manner or for any purpose that infringes, misappropriates, or otherwise violates any third party’s intellectual property or other rights, or that violates any applicable law; or 

  • otherwise accessing or using the Site or Content in an unauthorized manner.

True Whealthness will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.

5. CONSENT TO COMMUNICATIONS

 5.1 How We Use Your Contact Information

We provide contact forms (each a “Contact Form”) which enable users to submit communications to us. You may voluntarily provide your name, phone number, mailing address, e-mail address, and/or other contact information at any time by entering such Contact Information into a Contact Form.  By providing User Content in the form of your contact information through a Contact Form, you represent that the information you have provided is true and accurate. If you provide an e-mail address as part of User Content, you consent to receive communications from True Whealthness electronically through the e-mail address you provide for the following purposes, subject to the terms of our Privacy Policy: (i) to respond to your questions or provide information you have requested related to the Site or to True Whealthness products and services; (ii) to troubleshoot problems with the Site that you may report; or (iii) as necessary to enforce these Terms, applicable law, or any other agreement we may have with you. Our collection, use, disclosure, retention, processing, and protection of User Content is governed by our Privacy Policy (https://www.truewhealthness.com/privacy-policy).

5.2 Promotional E-mails. 

To receive our promotional e-mails, you will be required to provide us with your contact information, which may include your full name and e-mail address. You can unsubscribe at any time by using the “unsubscribe” link provided at the bottom of any e-mail, or contacting us directly using the contact information at the bottom of the page. Please note that even if you opt out of receiving promotional e-mails, you may still receive responses to e-mails that you send to us, notices of changes to our policies, or other messages relating to your use of the Site.

6. SECURITY

We use reasonable security measures that are designed to protect personal information from loss, disclosure, misuse, and destruction. These measures may include regular review of our data collection and storage processes, data encryption, and security software on our networks and servers. Please be aware, however, that no data security measures can guarantee that the Site is free of threats or other vulnerabilities. Notwithstanding the foregoing, you agree that your User Content may be transferred without encryption and involve (a) transmissions over networks not owned or controlled by True Whealthness; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

The Site may contain links to, and information about, products and services provided by third parties (“Third-Party Websites”). Such information and links are provided solely as a convenience to you. Third-Party Websites are not operated by us and are not under our control. We are not responsible for and do not endorse any Third-Party Websites, nor do we make any warranties regarding Third-Party Websites nor their associated content or materials. You are solely responsible for making your own independent judgment regarding your interactions with Third-Party Websites. Complaints, claims, concerns, or questions regarding Third-Party Websites or Third-Party Websites should be directed to the provider or administrator of the applicable Third-Party Website.

8. DISCLAIMERS

EXCEPT FOR THE EXPRESS WARRANTIES HEREIN, TRUE WHEALTHNESS HEREBY DISCLAIMS ALL WARRANTIES, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE UNDER THESE TERMS, AND TRUE WHEALTHNESS SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRUE WHEALTHNESS DOES NOT GUARANTEE THAT YOU WILL ACHIEVE ANY PARTICULAR RESULTS BY USING THE SITE. TRUE WHEALTHNESS MAKES NO WARRANTY THAT THE SITE WILL MEET YOUR REQUIREMENTS OR WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. 9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL OR EQUITABLE THEORY WILL TRUE WHEALTHNESS BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL LOSSES OR DAMAGES OF ANY NATURE ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SITE OR ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OFFERED ON OR THROUGH THE SITE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST REVENUE, LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, EVEN IF TRUE WHEALTHNESS OR ITS EMPLOYEES, DIRECTORS, OFFICERS, OR AGENTS HAVE BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES. IN NO EVENT WILL TRUE WHEALTHNESS’S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF EITHER: (I) THE AGGREGATE AMOUNT THAT YOU HAVE PAID TO TRUE WHEALTHNESS IN CONNECTION WITH YOUR USE OF THE SITE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO YOUR CLAIM; OR (II) ONE HUNDRED ($100.00) U.S. DOLLARS.

CERTAIN JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

10. INDEMNIFICATION. 

You agree to indemnify, defend and hold harmless True Whealthness from and against any claim, demand, loss, damages, liability or expense, including reasonable attorneys’ fees due to or arising out of (a) your breach of these Terms (including each of the policies and additional terms referenced and incorporated herein), (b) your violation of any applicable law, or (c) claims by a third party against True Whealthness arising from your violation of the rights of a third party in connection with your access to or use of the Site, including your User Content.

11. NOTICES; CONTACT INFORMATION

You agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via e-mail, or on or through the Site, satisfy any legal requirement that such communications or agreements to you be in writing.

12. GENERAL.

12.1 Feedback. If you send feedback, comments, ideas, suggestions, proposals, plans, or other materials, whether online, by e-mail, by postal mail, or otherwise (collectively, “Feedback”), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use and/or exploit such Feedback in any medium and for any purpose. We are under no obligation (a) to maintain any Feedback in confidence; (b) to pay compensation for any Feedback; or (c) to respond to any Feedback.

12.2 Governing Law. These Terms and any action related thereto will be governed by the laws of the State of Arizona, without regard to its conflict of laws provisions. The exclusive jurisdiction for all disputes between you and True Whealthness will be the state and federal courts located in Pima County, and you and True Whealthness each waive any objection to jurisdiction and venue in such courts.

12.3 Notifications of Copyright Infringement. True Whealthness will remove and take other actions as we deem appropriate with respect to allegedly infringing User Content. If you feel that any User Content is infringing under the U.S. Digital Millennium Copyright Act of 1998 (“DMCA”), we encourage you to contact our designated DMCA agent using the contact information provided below.

Your notice must provide:

  • A description of the copyrighted work that has allegedly been infringed;

  • A description of where the allegedly infringing material is located (including the URL);

  • An address, a telephone number, and an e-mail address where we can contact you;

  • A statement that you have a good-faith belief that the use is not authorized by the copyright or other intellectual property rights owner, by its agent, or by law; and

  • A statement by you under penalty of perjury that the information in your notice is accurate and that you are the copyright or intellectual property owner or are authorized to act on the owner’s behalf.

Upon receipt of a proper notice of claimed infringement, we will follow the procedures specified in the DMCA to resolve the claim. We may request additional information before we take any action regarding alleged infringement.

12.4 Miscellaneous. These Terms (as amended from time to time) constitute the entire agreement between you and us regarding the Site, and supersede any prior agreement or understanding, arrangements, undertaking, or proposal, written or oral, in relation to the subject hereof. No waiver by us of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full effect. Even after your rights under these Terms are terminated, all provisions of these Terms which by their nature should survive, will survive. You may not assign or transfer these Terms, by operation of law or otherwise, without True Whealthness’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. True Whealthness may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
